By accessing or using our website, software, or workflow services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
1.Scope and Nature of Service
LC Shield is an automated document formatting and compliance workflow assistant designed to evaluate draft trade documentation against international practice guidelines, including the International Chamber of Commerce (ICC) Uniform Customs and Practice for Documentary Credits (UCP 600) and International Standard Banking Practice (ISBP 745).

- The Service operates solely as an informational, automated proofreading tool.
- The Service DOES NOT constitute legal advice, financial advice, or official banking review.
- The Service DOES NOT guarantee that submitted documents will be accepted by issuing, advising, nominated, or confirming banks.
- Final review, document verification, and submission to financial institutions remain the sole responsibility of the user.
2.Limitation of Liability
To the maximum extent permitted by applicable law:
- No Consequential Damages: LC Shield, its founders, employees, or affiliates shall NOT be liable for any direct, indirect, incidental, consequential, or punitive damages—including but not limited to bank discrepancy fees, late shipment penalties, loss of cargo, payment delays, interest costs, or breach of underlying commercial contracts.
- Cap on Liability: In no event shall our cumulative liability to you for any claims arising out of or relating to the Service exceed the total amount of subscription or license fees actually paid by you to LC Shield during the one (1) month preceding the event giving rise to liability.
3.User Responsibilities & API Usage
- Accuracy of Inputs: Users are responsible for verifying the accuracy of all pasted text, uploaded PDFs, and SWIFT MT700 credits before relying on generated reports.
- BYO-Key Usage: Users utilizing the "Bring Your Own Key" (BYO-Key) feature are solely responsible for managing their third-party API keys (e.g., OpenAI, Anthropic) and assuming all associated usage fees charged by third-party providers.
4.Subscription, Billing, and Refunds
- Billing: Subscriptions and licenses are processed via our authorized payment provider, Stripe. All payments are charged in USD or HKD as selected during checkout.
- Refund Policy: Due to the digital, immediately consumable nature of software licenses and API token resources, all purchases (including Lifetime Licenses and monthly subscriptions) are non-refundable once activated, unless required by applicable law.
5.Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles.
Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, the tribunal shall consist of one (1) arbitrator, and the language of the arbitration shall be English. To the extent permitted by law, you waive any right to a trial by jury or to participate in a class action.
6.Intellectual Property
All software, interface designs, AI scanning algorithms, and brand assets of LC Shield are the exclusive property of DZent Limited.
